GOOGLE ADS MANAGEMENT AGREEMENT

1. Scope of Services
LeadUp Digi LTD. agrees to provide the following services:
- Google Ads account setup and management
- Keyword research and targeting
- Campaign creation and optimization
- Conversion tracking setup
- Ongoing performance monitoring
- Weekly reporting and insights

2. Fees & Payment Terms
- The agreed management fee is £100 per month (discounted from £160).
- The ad spend (£800/month) is separate and paid directly by the client to Google.
- The management fee will be paid on 27th April 2026 and monthly thereafter.
Commission Structure:
- Client agrees to pay 10% commission per closed job generated through Google Ads.
- Commission payments will be made weekly.

3. Contract Duration
- This agreement is on a month-to-month basis.
- Either party may terminate the agreement with a 7-day written notice.

4. Access & Ownership
- The client will provide necessary access to their Google Ads account.
- The client retains full ownership of their ad account and data.

5. No Guarantees
- LeadUp Digi LTD. does not guarantee specific results, including but not limited to:
- Number of leads
- Number of jobs
- Ad rankings or positions
- Performance depends on multiple external factors including market competition, budget, and customer response.

6. Confidentiality
Both parties agree to keep all business, marketing strategies, financial information, and customer data confidential.
This information shall not be shared with any third party without prior written consent.

8. Acceptance
By signing below, both parties agree to the terms outlined in this agreement.
